By accessing UXGen Advisory and engaging our services, you agree to be bound by these Terms of Service. These
terms govern the strategic consulting relationship between you and UXGen Technologies (OPC Pvt. Ltd.).
1. Scope of Advisory Services
UXGen Advisory provides B2B SaaS and Marketing UI/UX audits, teardowns, and strategic blueprints. We act as
external consultants and advisors. Unless a separate implementation contract is signed, our role is strictly
advisory, and we are not responsible for the direct coding or development of your software.
2. Intellectual Property Rights
Your IP: You retain full ownership of all your product code, branding, and pre-existing
intellectual property.
Our Deliverables: Upon full payment, you are granted an exclusive,
perpetual license to use the Figma blueprints, UI designs, and audit reports provided by us for your internal
business use.
3. Confidentiality & Non-Disclosure
Both parties agree to maintain strict confidentiality regarding proprietary business information, metrics, and
strategies discussed during the advisory engagement. A formal Mutual Non-Disclosure Agreement (MNDA) can be
executed upon request prior to the audit kickoff.
4. Limitation of Liability
While our UX heuristics and PLG strategies are based on industry-leading practices designed to lower CAC and
improve MRR retention, business outcomes depend on market factors and your team's execution. UXGen Technologies
(OPC Pvt. Ltd.) shall not be held liable for any indirect, incidental, or consequential damages arising from the
implementation of our advisory recommendations.
5. Governing Law
These terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject
to the exclusive jurisdiction of the courts located in Uttar Pradesh, India.
